1. Introduction

Welcome to Quorix Flow. These Terms of Service ("Terms") govern your access to and use of the Quorix Flow website, products, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting.

2. Services Provided

Quorix Flow provides digital engineering, software development, UI/UX design, graphic design, and digital marketing services. The specific details, deliverables, timelines, and costs of the Services will be outlined in a separate Statement of Work (SOW) or formal proposal agreed upon by both parties.

• We reserve the right to refuse service to anyone for any reason at any time.
• We may pause or terminate projects if the client fails to provide necessary materials or feedback within reasonable timeframes.

3. Payment Terms

Unless otherwise specified in a custom contract, our standard payment structure requires an upfront deposit before any work commences.

• Deposit: A non-refundable 30% deposit is required to initiate architecture and design phases.
• Milestones: Subsequent payments are tied to specific development milestones as outlined in your SOW.
• Final Payment: The final balance must be cleared prior to the deployment of the product to live production servers or the transfer of source code repositories.

4. Intellectual Property

Upon full and final payment of all invoices related to a project, Quorix Flow assigns to the client the intellectual property rights to the final bespoke deliverables created specifically for the client.

However, Quorix Flow retains the rights to any pre-existing code libraries, open-source frameworks, proprietary algorithms, or generalized design systems used to construct the project. The client is granted a perpetual, non-exclusive license to use these underlying assets as part of the final product.

5. Limitation of Liability

In no event shall Quorix Flow, its directors, employees, or partners be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Cameroon, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

7. Privacy & Data Collection

We are committed to protecting your privacy. We only collect the necessary information required to deliver our services effectively and communicate regarding your project.

• Data We Collect: We collect your name, email address, phone number, location, and specific project details strictly submitted by you through our contact forms.
• Data Security: All collected data is strictly secured, encrypted, and never sold or shared with external third parties. It is used exclusively for internal communication and project execution.
